Prosistant Terms of Use

Effective Date: September 19, 2026

These Terms of Use govern access to and use of the Prosistant platform and Prosistant.com. They work alongside our Master Subscription and Licensing Agreement and Privacy Policy, which are incorporated by reference.

1. Acceptance of Terms

These Terms of Use ("Terms") govern access to and use of Prosistant.com and the Prosistant school administration and management platform ("Prosistant" or the "Platform"), operated by Polytend Tech LLC, a Washington limited liability company ("Polytend," "we," "us," or "our").

By accessing Prosistant.com, logging into the Platform, or otherwise using Prosistant in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing Prosistant on behalf of a school or educational organization, you represent that you have the authority to bind that organization, and references to "you" include both you individually and the organization you represent.

If you are an Authorized User of a School Customer: If your school has an executed Master Subscription and Licensing Agreement with Polytend, your use of Prosistant is also governed by that agreement. See Section 2 below for how these Terms and the Master Agreement work together.

If you do not agree to these Terms, you must not access or use Prosistant.


2. Relationship to the Master Agreement and Privacy Policy

2.1 The Master Agreement Controls for School Customers

Prosistant is made available to schools and educational organizations ("School Customers") under a Master Subscription and Licensing Agreement executed directly between the School Customer and Polytend ("Master Agreement"). The Master Agreement is the directing agreement governing the commercial relationship, subscription terms, data ownership, and use restrictions applicable to a School Customer and its Authorized Users.

These Terms of Use supplement, and do not replace, the Master Agreement. In the event of any conflict between these Terms and a School Customer's Master Agreement, the Master Agreement controls with respect to that School Customer and its Authorized Users.

2.2 These Terms Govern General Platform and Website Access

These Terms independently govern: (a) access to Prosistant.com by any visitor, (b) day-to-day use of the Platform interface by Authorized Users, and (c) any use of Prosistant not otherwise addressed by a Master Agreement. Where no Master Agreement exists between you and Polytend, these Terms are the entire agreement governing your use of Prosistant.

2.3 Privacy Policy Incorporated by Reference

Our Privacy Policy (available at Prosistant.com/privacy-policy) describes how we collect, use, protect, and delete information processed through Prosistant, and is incorporated into these Terms by reference. By using Prosistant, you also agree to the terms of the Privacy Policy.

3. Eligibility and Accounts

3.1 Authorized Users

Access to Prosistant is limited to individuals designated by a School Customer as authorized owners, directors, administrators, or employees ("Authorized Users"), consistent with the applicable Master Agreement. Each Authorized User is provided a unique username and credentials, which may not be shared.

3.2 Accuracy of Information

You agree to provide accurate information when creating or using a Prosistant account and to keep your credentials confidential. You are responsible for all activity occurring under your account.

3.3 Revocation on Change of Status

If an Authorized User's employment or authorized relationship with a School Customer ends, that individual's access to Prosistant must be promptly revoked by the School Customer. Polytend may also suspend or terminate an individual account upon reasonable suspicion of unauthorized use or violation of these Terms.

3.4 Age Requirement

Prosistant is intended for use by school administrators, staff, and authorized adult users. It is not directed at children, and Prosistant does not knowingly permit children to create accounts or directly access the Platform.


4. Description of the Platform

Prosistant is a school administration and management platform designed to assist school owners, directors, administrators, and authorized staff with functions including, without limitation, student enrollment, inquiry and waitlist management, student and family information management, staffing and scheduling, multi-campus management, reporting, communications, and recordkeeping.

Polytend may add, modify, or remove features of Prosistant at its discretion as the Platform continues to develop. Polytend does not guarantee that any specific feature will remain available indefinitely, though material changes affecting a School Customer's subscription will be communicated consistent with the applicable Master Agreement.


5. Acceptable Use

You agree that you will not, and will not permit any other person to:

School Customers: These restrictions apply in addition to, and are consistent with, the detailed restrictions on use set out in your Master Agreement, which controls in the event of any inconsistency.

Polytend reserves the right to suspend or restrict access to Prosistant for any account reasonably suspected of violating this Section, consistent with the termination and suspension provisions of the applicable Master Agreement.


6. Intellectual Property Rights

6.1 Polytend's Ownership

Prosistant, including its name, branding, source code, object code, software architecture, database structures, user interface designs, algorithms, workflows, documentation, and all related intellectual property, is owned exclusively by Polytend Tech LLC. Nothing in these Terms transfers any ownership interest in Prosistant to you.

6.2 Trademarks

"Prosistant" and associated logos are trademarks or claimed trademarks of Polytend Tech LLC. You may not use Polytend's trademarks without prior written permission, except as necessary to identify that you are a Prosistant customer in a manner consistent with these Terms.

6.3 School Customer Data and Materials

School Customers retain ownership of their own data entered into Prosistant, as well as their own trademarks, logos, curriculum, and other proprietary materials. Nothing in these Terms transfers ownership of that material to Polytend. See the Privacy Policy for how School Data is handled.


7. Feedback

If you provide Polytend with suggestions, feature requests, bug reports, or other feedback regarding Prosistant, you agree that Polytend may use that feedback to improve Prosistant without restriction or compensation to you. Unless separately agreed in writing, feedback does not create any ownership interest in Prosistant.


8. Third-Party Services

Prosistant may rely on or interoperate with third-party services, including cloud hosting, communication, and payment processing providers. Polytend is not responsible for the availability, content, or practices of third-party services, and your use of any such service may be subject to that provider's own terms.


9. Disclaimers

EXCEPT AS EXPRESSLY STATED IN AN APPLICABLE MASTER AGREEMENT, PROSISTANT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POLYTEND DOES NOT WARRANT THAT PROSISTANT WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Nothing in this Section limits any express warranty or service commitment separately provided in a Master Agreement.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POLYTEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF PROSISTANT, EVEN IF POLYTEND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE A MASTER AGREEMENT IS IN EFFECT, ANY AGGREGATE LIABILITY CAP STATED IN THAT MASTER AGREEMENT SHALL GOVERN THE COMMERCIAL RELATIONSHIP BETWEEN POLYTEND AND THE SCHOOL CUSTOMER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.


11. Indemnification

You agree to indemnify, defend, and hold harmless Polytend and its officers, employees, and agents from any claims, damages, or expenses, including reasonable attorney fees, arising from: (a) your violation of these Terms; (b) your violation of any applicable law; or (c) your misuse of Prosistant. This Section supplements, and does not replace, any indemnification obligations set out in an applicable Master Agreement.


12. Term and Termination of Access

These Terms remain in effect for as long as you access or use Prosistant. Polytend may suspend or terminate your access to Prosistant at any time for violation of these Terms, consistent with the termination provisions of any applicable Master Agreement.

For School Customers, termination of platform access is governed by the termination provisions of the Master Agreement, including any applicable notice periods, data export windows, and deletion timelines.


13. Modifications to These Terms

Polytend may update these Terms from time to time to reflect changes in Prosistant, our practices, or applicable law. Material changes will be posted on this page with an updated effective date. For School Customers, any change to these Terms that conflicts with the Master Agreement does not modify the Master Agreement, which can only be amended as set out in that agreement's own amendment provisions.

Continued use of Prosistant after an update to these Terms constitutes acceptance of the updated Terms.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Any dispute arising under these Terms that is not otherwise resolved under an applicable Master Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington.


15. General Provisions

15.1 Entire Agreement

For any use of Prosistant not governed by a Master Agreement, these Terms, together with the Privacy Policy, constitute the entire agreement between you and Polytend regarding your use of Prosistant.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Polytend's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

15.4 Assignment

Polytend may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets. You may not assign these Terms without Polytend's prior written consent.
